Not a big fan of Virtualbox but a total fanboy for problem solving..so

I'm really not getting anything from error 2 fault, which sounds like segmentation, is there any more information?

I might add if you are upgrading, there's a good chance things will become more difficult. Virtualbox or No. I am also curious what it is you are trying to accomplish through this update, whether it's to update your sources, or upgrade your system.

Seems you are trying to upgrade.
I suggest you use a lightweight distro.

Ultimate Edition 3.5 is not something you can install in virtualbox.

It look like from this screenshot it is not suitable for vbox. I am now trying it on vmware to see will it run before i go full install.

Vmware is way better than virtualbox, but still not a good solution if you want to run Ultimate Edition 3.5.
If your intent is to run different OS's for testing and shopping, it should be fine.
If you want to do serious work, you will have to install it.

Also, make sure visualization is turned on in the BIOS or UEFI. Win 8 is probably not the best host either.....
