You can change it two ways download a new theme from one of these two sources.. http://www.gnome-look.org/ or http://art.gnome.org/ or you can right click the panel pick properties click background..can make it invisible to some degree... ;)

You can also right click on the panel then choose properties. Then click on the background tab and check the button to use a background image for the panel. You can then select the image you wish to use. The image should be the same height as your panel. The only other thing that you will need to edit is the image file in your current theme that controls the appearance of the main menu bar and the active open windows so they will match the new picture you selected for your panel.
